Membership Agreement
1. Parties
a) BLACK RIBBON TEXTILE DESIGN INDUSTRY AND TRADE LIMITED COMPANY, located at HALİL RIFAT PAŞA NEIGHBORHOOD, YÜZER HAVUZ STREET, PERPA TRADE CENTER, B BLOCK, NO: 1/1, INTERIOR DOOR NO: 1853, ŞİŞLİ/ISTANBUL, which operates the website www.blackribbon.com.tr (hereinafter referred to as "Black Ribbon").
b) The internet user who becomes a member of the website www.blackribbon.com.tr (hereinafter referred to as the "Member").
2. Subject of the Agreement
The subject of this agreement is to define the terms of use of the website www.blackribbon.com.tr owned by Black Ribbon by the Member.
3. Rights and Obligations of the Parties
3.1. The Member declares and undertakes that the personal and other information provided during membership registration on www.blackribbon.com.tr is accurate and that they will fully and promptly compensate Black Ribbon for all damages incurred due to the inaccuracy of this information.
3.2. The Member cannot share the password provided by Black Ribbon with others. The right to use this password belongs exclusively to the Member. The Member is solely responsible for any liability arising from such unauthorized use and indemnifies Black Ribbon against all claims and demands from third parties or authorities due to such use.
3.3. The Member agrees to comply with legal regulations while using www.blackribbon.com.tr and not to violate them. Otherwise, all legal and penal liabilities will solely and exclusively bind the Member.
3.4. The Member shall not use www.blackribbon.com.tr in any way that disrupts public order, violates public morality, harasses or disturbs others, is unlawful, or infringes upon others' intellectual property and copyrights. The Member is also prohibited from engaging in activities that hinder or complicate the use of services by others (e.g., spam, viruses, trojans).
3.5. Any ideas, thoughts, or comments expressed and used on www.blackribbon.com.tr by members are solely the opinions of the Members and bind the Member. These do not reflect the views of Black Ribbon. Black Ribbon is not responsible for any damages suffered by third parties due to opinions expressed by the Member or by the Member due to opinions expressed by others.
3.6. Black Ribbon will not be responsible for the reading of Member data by unauthorized persons or for any damages to Member software and data. By using www.blackribbon.com.tr, the Member waives the right to claim compensation for any damages incurred from Black Ribbon.
3.7. The Member agrees not to access or use the software or data of other users without authorization. Otherwise, the Member assumes all legal and penal liability.
3.8. Members violating any clause in this agreement are personally liable for all legal and penal consequences and indemnify Black Ribbon against such consequences.
3.9. Black Ribbon reserves the right to delete the membership or information files of Members unilaterally. The Member accepts this decision in advance and agrees that Black Ribbon is not liable for such actions.
3.10. The software and design of www.blackribbon.com.tr belong to Black Ribbon. These intellectual property rights are protected by law and cannot be used, acquired, or modified without authorization.
3.11. Black Ribbon may collect information, such as the internet service provider’s name, IP address, access date/time, and accessed pages for website improvement, development, or legal requirements.
3.12. The Member allows Black Ribbon to store records of their activity on www.blackribbon.com.tr for purposes like service enhancement and customization.
3.13. By agreeing to this agreement, the Member permits Black Ribbon and its affiliates to use, share, and archive personal and shopping data for marketing, surveys, and other customer satisfaction purposes, unless explicitly revoked.
3.14. Black Ribbon may disclose Member data if legally required or if deemed necessary to protect its rights or prevent fraud.
3.15. Despite efforts to secure the site against malicious software, Members should maintain their virus protection and assume responsibility for their systems.
3.16. Black Ribbon retains the right to modify or terminate services, alter site content, or delete Member data at any time.
3.17. Black Ribbon may update, change, or cancel terms of this agreement without prior notice.
3.18. Black Ribbon's electronic records shall serve as conclusive evidence in disputes.
3.19. By registering, the Member agrees to receive emails and SMS notifications. Members may opt out via their account settings.
4. Termination of Agreement
This agreement remains valid unless terminated by the Member or by Black Ribbon. Black Ribbon may terminate the agreement for violations unilaterally.
5. Dispute Resolution
Istanbul Courts and Enforcement Offices have jurisdiction over any disputes arising from this agreement.
6. Enforcement
By registering, the Member acknowledges they have read, understood, and agreed to all terms of this agreement, effective upon their membership.
